8. SPECIAL RESOLUTION – ARTICLES OF ASSOCIATION
THAT the draft Articles of Association which, for the purposes of identification, were provided to Members with the notice calling this Annual General Meeting, be adopted as the Articles of Association of the British Pest Control Association in substitution for, and to the exclusion of, the British Pest Control Association’s existing Articles of Association.
BPCA members are being asked to vote on an updated set of Articles of Association and Rules at the Annual General Meeting.
The Articles and Rules are the most important governing documents of the Association. They and their supporting documents are typically thought of as a bit of a company manual, defining the business purpose, detailing how decisions are made and clarifying how certain tasks should be completed.
Our current governing documents weren’t broken, they complied with current laws and regulations, and they’ve not stopped the Association from achieving great things so far. However, it’s been a while since they were reviewed (2013) and, as BPCA’s reach extends, our voice gets stronger, and the environment in which we operate changes, a review was required to ensure our growing Association has the agility it needs whilst ensuring members' interests remain protected.
We’ve provided a whole suite of information regarding the documents, what’s changed and some FAQs on the BPCA Website: MEMBER VOTE: Changes to BPCA Articles of Association and Rules. Please take time to review this documentation and support the Association with your vote.
9. RULES
Subject to the Special Resolution above being passed, THAT the draft Rules which, for the purposes of identification, were provided to Members with the notice calling this Annual General Meeting, be adopted as the Rules of the British Pest Control Association in substitution for, and to the exclusion of, the British Pest Control Association’s existing Rules.
